Terms of service
Contract terms for merchants using Zuarbito in their Shopify store.
1. Scope and parties
These terms govern the use of the Shopify app “Zuarbito” (the “App”) by merchants. The App is provided by Engin Ucar, Overbruckstr. 73, 47166 Duisburg (the “Provider”). Contact: support@zuarbito.com, support: https://zuarbito.com/support/.
The App is intended exclusively for businesses operating a Shopify store. Deviating or additional terms of the merchant do not apply, even if the Provider does not expressly object to them.
2. What the App does
The App supports merchants with personalized orders: based on the rules the merchant defines, it detects missing details and files, sends protected links to customers, receives texts and files, manages proof revisions, records approvals and provides the current production copy. The scope of functions follows the description in the Shopify App Store and the documentation at https://zuarbito.com/support/.
The App does not check copyrights or trademarks in customer files, does not assess print readiness and does not replace the merchant's own professional review. Approvals are given only through an explicit action by the customer or the merchant; nothing is approved automatically after a period of time. Fulfillment holds are placed and released in Shopify; they do not stop production or external systems.
The App does not process payments, does not create invoices, tax calculations or contract texts towards the merchant's customers, and does not provide legal advice.
The Provider may develop the App further and change functions as long as the essential scope of the service is preserved. The Provider announces material changes in the App or by email to the address stored in the store.
3. Conclusion, term and termination
The contract is concluded when the merchant installs the App in their Shopify store and accepts these terms and the data processing agreement in the App.
The contract runs for an indefinite period. The merchant may end it at any time by uninstalling the App; Shopify then ends the subscription. The Provider may terminate the contract in text form with 30 days' notice to the end of a month; termination for cause remains unaffected.
When the contract ends, customer links and scheduled messages stop immediately. Active fulfillment holds remain in Shopify because the App no longer has access; the merchant releases them in the Shopify admin.
4. Plans and billing
The App can be used on the plans described in the Shopify App Store. Billing is handled exclusively by Shopify at the amounts, billing periods and trial periods shown there; the Provider receives no payment data of the merchant. The merchant changes plans in the App or on Shopify's plan page.
Each plan includes a monthly allowance of relevant orders. Once it is used up, the App stops taking on further orders automatically until the next billing month and says so in the App; this causes no additional cost. The Provider announces price changes at least 30 days in advance; they apply from the following billing period.
5. Obligations of the merchant
The merchant uses the App only within applicable law and Shopify's terms. The merchant is responsible for the content, files and details that the merchant or their customers provide through the App, in particular for being permitted to use uploaded files.
The merchant informs their customers about the processing of their data as required by data protection law, for example in the store's privacy policy. Access to Shopify and to the App is kept confidential.
The merchant reviews details, files and proofs before production. The merchant alone decides what is produced.
6. Availability and support
The Provider aims for high availability but does not owe a specific availability. Maintenance and disruptions at Shopify, the hosting provider or the email provider can temporarily limit use. The App is not a background service for the merchant's production; it provides information but does not replace the merchant's own processes.
Support is provided by email to support@zuarbito.com on German business days (Monday to Friday) in German and English. A first reply is usually sent within one business day; requests about blocked production are handled with priority. Further information: https://zuarbito.com/support/.
7. Data protection
Where the App processes personal data of the merchant's customers, the Provider acts as the merchant's processor. The basis is the data processing agreement, which forms part of this contract and which the merchant accepts in the App. The Provider's privacy policy describes which data the App processes, why and for how long.
8. Liability
The Provider is liable without limitation for intent and gross negligence, for injury to life, body or health, and under the German Product Liability Act.
For slight negligence the Provider is liable only for the breach of a material contractual obligation whose fulfilment is essential for the proper performance of the contract and on whose observance the merchant may regularly rely, limited to the foreseeable damage typical for this type of contract at the time of conclusion. Any further liability is excluded.
The Provider assumes no responsibility for content provided by the merchant's customers or for the consequences of production carried out without the merchant's own review.
9. Changes to these terms
The Provider may change these terms with effect for the future, for example because of changes in the law, new functions or changed sub-processors. Changed terms are presented for acceptance in the App with a new version number; continued use requires acceptance. If the merchant does not accept, the merchant may uninstall the App; until then the previous terms continue to apply to ongoing orders.
10. Final provisions
The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods. If the merchant is a merchant within the meaning of the German Commercial Code, a legal entity under public law or a special fund under public law, the place of jurisdiction is Duisburg, Germany.
Should individual provisions be invalid, the rest of the contract remains in force. The German version prevails; this English version is for information.
